  • 1.1 Regulatory compliance and user protection remains our priority, this Risk Warning aims to inform you about the risks associated with using Gate.io Services. It’s important to note that each Gate.io Service carries its own unique set of risks. This Risk Warning outlines a general overview of potential risks that could occur as a result of engaging with Gate.io Services. All capitalised terms used in this Risk Warning shall be defined in accordance with the definition in the Gate.io User Agreement - https://www.gate.io/user-agreement (the “User Agreement”). Gate.io and/or any of its affiliates, related body corporate are referred to as “we”, “our” “us”.

  • 1.2 This Risk Warning does not comprehensively detail all potential risks nor does it address how these risks might pertain to your individual situation. It is crucial that you have a thorough understanding of the inherent risks prior to opting to engage with our Services. Additionally, you are advised to review the terms and conditions applicable to each particular product or service in question. By accessing our Sites or Services and engaging in any transactions with us, you acknowledge and agree that you are accepting all associated risks.

• 2. Technical Risk

  • 2.1 Digital Assets inherently face a heightened vulnerability to cyber threats. We employ extensive measures to protect Digital Assets and to secure the platform against cyber attrack, however we cannot guarantee to completely avoid security risks. We may experience sophisticated cyber-attacks, unexpected surges in activity, or other operational or technical difficulties that may cause service interruptions.

  • 2.2 You remain responsible for maintaining the confidentiality and security of your Account information. You shall bear the responsibility for all transactions executed under your Account, irrespective of whether such transactions were authorized by you. The nature of digital asset transactions is such that they may be irrevocable, and consequently, any losses sustained due to fraudulent or unauthorized transactions may not be recoverable.

• 3. Digital Assets & Market Risk

  • 3.1 Given the unique nature of Digital Assets and the technologies upon which they rely, users should be aware of the following risks, without limitation:

    • (a) The price of Digital Assets is highly volatile, and is subject to significant fluctuations. This volatility can be influenced by various factors such as market demand, regulatory developments, macroeconomic trends, investor sentiment, technological advancements, and geopolitical events.

    • (b) Faults, defects, hacks, exploits, errors, protocol failures, or unforeseen circumstances may arise in connection with a Digital Asset or the technologies and economic systems upon which it depends. These events may impair the functionality, security, or value of the Digital Asset.

    • (c) Delays in the blockchain network may cause transactions to not be settled on the scheduled delivery date, affecting the timely execution of contracts and settlement of obligations.

    • (d) Rapid advancements in technology may render a particular Digital Asset obsolete, reducing its utility and market value.

    • (e) Digital Assets purchased and held in an account with Gate.io are not covered by any external investor compensation, customer asset protection, deposit protection, insurance, or other similar schemes, increasing the risk of financial loss in the event of a breach or other adverse event.

    • (f) In the event that developers propose changes to a Digital Asset's software that are not compatible with the original software, and a sufficient number of users and miners choose not to migrate to the updated software, a hard fork may occur. This would result in the parallel operation of two versions of the Digital Asset network and a split of the underlying blockchain, potentially impacting the demand and price of the Digital Asset.

    • (g) Attacks on the protocol or technologies supporting a Digital Asset may compromise its security, integrity, and functionality, leading to potential losses for investors and users.

    • (h) Certain addresses on the blockchain network may hold a significant portion of the outstanding asset on that network. If one of these addresses were to exit their positions, it could lead to volatility and adversely affect the price of the asset.

    • (i) Digital Assets are susceptible to fraud and cyber attacks, which may result in the theft, loss, or compromise of Digital Assets.

    • (j) If an entity gains control of over 51% of the computing power (hash rate) used by a blockchain network, they could potentially double-spend their Digital Assets. While the likelihood of such an attack on widely adopted networks is remote, a successful 51% attack would significantly erode trust in public blockchain networks, potentially decreasing the value of Digital Assets.

    • (k) Investing in new types of Digital Assets or engaging in more complex transaction strategies may expose investors and users to new and unforeseen risks. The Digital Asset market is subject to speculative interest, rapid price swings, and uncertainty, making it a highly volatile and unpredictable investment environment.

    • (l) Transactions involving Digital Assets are generally irreversible. Consequently, losses incurred due to fraudulent or accidental transactions may not be recoverable, posing a significant financial risk to investors and users.

  • 3.2 Digital Asset trading is inherently risky and thus generally unsuitable for most people. You acknowledge that investing in Digital Assets may lead to partial or complete loss of your investment. Consequently, it is strongly recommended that you determine the investment amount based on your risk tolerance and financial capacity. You further acknowledge and understand that Digital Assets may pose derivative risks. Therefore, in case of any uncertainty, you are urged to consult a professional advisor and seek independent professional advice. Additionally, apart from the aforementioned risks, unforeseen risks may also arise. Therefore, you are advised to carefully consider and use rational judgment to assess your financial position and the above-mentioned risks before making any decisions on trading. Any and all losses arising therefrom will be borne by you yourself and we shall not be held liable in any manner whatsoever and howsoever.

• 4. Counterparty Risk

  • 4.1 Using our Services may expose you to counterparty risks in various contexts. Such risk may arise, but is not limited to, instances where a market maker or liquidity provider encounters challenges that may induce slippage or impede the execution of trades. Moreover, difficulties or disputes arising with payment processors may give rise to delays in processing deposit and withdrawal transactions. Additionally, instances of borrowers defaulting on their repayment responsibilities may result in the postponement of deposit redemption from particular products.

  • 4.2 In such exceptional and unforeseen circumstances, your holdings and your capacity to transact or engage with your holdings may be adversely impacted. This may lead to a variety of consequences, including, but not limited to, transactions not completing as anticipated, trading costs becoming non-recoverable, the loss of profits, and the inability to acquire or dispose of assets at the desired time or price.

• 5. No Personal Advice

  • 5.1 Gate.io does not offer personalized advice regarding its Services. While we may supply data, procedural information for transactions, promotional materials and information regarding potential risks, the choice to engage with our Services is entirely yours. No communications or information provided to you by Gate.io should be interpreted or deemed as investment, financial, trading, or any form of advice. You alone are responsible for assessing whether any investment, strategy, or associated transaction aligns with your individual investment goals, financial situation, and risk appetite.

  • 5.2 Gate.io does not act as your agent or consultant, and there is no fiduciary duty or obligation owed to you regarding any trading actions or decisions you make while utilizing our Services. We do not oversee whether your engagement with Gate.io Services aligns with your financial targets and aims. It is your responsibility to seek independent professional advice and evaluate whether the activities you participate in via Gate.io Services are suitable considering your financial status and risk appetite.

• 6. No Monitoring

  • 6.1 Gate.io is not your broker, intermediary, agent, or advisor and has no fiduciary relationship or obligation to you in connection with any trades or other decisions or activities undertaken by you using Gate.io Services. We do not monitor or Intervene whether your use of Gate.io Services is consistent with your financial goals and objectives. It is up to you to assess whether any activity that you engage in through the Gate.io Services is appropriate given your financial position and risk appetite.

• 7. Risk of Restricted Locations

  • 7.1 We reserve the right to make all or just part of the Services available in certain markets and jurisdictions only, in our sole absolute discretion and in accordance with local applicable laws. Accordingly, some Services and/or certain functionality within the Sites, may not be available or may be restricted in certain jurisdictions or regions. Any Gate.io campaigns, activities, competitions or other promotions will not be open to (and are not targeted at or intended for) users in the\ Restricted Locations. Users are responsible for observing any restrictions and/or requirements imposed with respect to, the access to and use of the Sites in each jurisdiction. • 8. No Tax, Regulatory or Legal Advice

  • 8.1 You are solely responsible for the determination, reporting and satisfaction of any tax obligations you may have associated with conducting transactions on our Sites. You acknowledge and accept that Gate.io does not provide any legal, financial or tax advice in relation to any transactions. In the event of any uncertainty concerning your tax liabilities or the status of Digital Assets held within your account during the use of our Services, you should seek independent professional advice.

  • 8.2 You acknowledge that failure to comply with any tax authority's requests within the stipulated period may result in the withholding of taxes by Gate.io, which may then be forwarded to the relevant tax authorities in accordance with applicable laws. It is strongly recommended that you seek comprehensive professional tax advice with respect to the foregoing and prior to entering into any transaction.

• 9. Liquidity risk

  • 9.1 Digital Assets may have limited liquidity, which may make it difficult or impossible for you to sell or exit a position when you wish to do so. This may occur at any time, including at times of rapid price movements.

• 10. Third Party Risk

  • 10.1 Third parties, such as payment providers, custodians, and banking partners, may be involved in the provision of Gate.io Services. You may be subject to terms and conditions of these third parties, and Gate.io may not be responsible for any loss that these third parties may cause to you.

• 11. Communication Risks

  • 11.1 When you communicate with us via electronic communication, you should be aware that electronic communications can fail, can be delayed, may not be secure and/or may not reach the intended destination.

• 12. Currency

  • 12.1 Fluctuations in the exchange rates of different currencies may also affect your gains and losses.

• 13. Legal and Regulatory Risks

  • 13.1 The majority of Digital Assets function in the absence of a central governing body and are typically not endorsed or supported by any governmental entity or regulatory authority. The alteration of legislative and regulatory frameworks has the potential to significantly impact the valuation of Digital Assets. Such risk is characterized by its unpredictability and may differ across various markets.

  • 13.2 In certain jurisdictions, Digital Assets may not be classified as “property” pursuant to the relevant laws and regulations. This classification may influence the character and enforceability of one’s rights and interests in Digital Assets.

  • 13.3 Legislative and regulatory changes could negatively impact or impose restrictions (as applicable) on the utilization, transfer, trading, and valuation of Digital Assets, as well as on the provision of our Services within specific jurisdictions. These changes in the legal and regulatory landscape may occur abruptly and without advance warning.

  • 13.4 Gate.io reserves the right to terminate the provision of Services at anytime in its sole discretion. Gate.io shall not be liable for any losses incurred as a result of such termination, including losses arising from the requirement to close positions at unfavorable market prices or from forced liquidation of positions.
